Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of By Your Side (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm you have authority to accept these Terms on its behalf.

1. Acceptance

You must be at least 18 years old and able to form a binding contract to use the Service. If you do not agree to these Terms, do not use the Service. We may update these Terms as described in section 12.

2. Description of the Service

By Your Side is an AI voice agent that answers and places phone calls. It converts speech to text, sends that text to a large language model, and speaks the reply back using text-to-speech, over a VoIP telephone connection. The Service includes per-number AI agents, an in-call co-pilot that helps you on live calls, and an embeddable website widget. Depending on your configuration, it can book meetings, take messages, transfer calls, and create recordings, transcripts, and summaries. Features may change as we improve the product.

3. Account responsibilities

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Keep your contact and billing details accurate. Tell us promptly at support@byourside.ai if you believe your account has been compromised.

4. AI-generated content

The Service uses automated speech recognition and large language models. Its spoken and written output can be inaccurate, incomplete, or unexpected, and may misrecognise what a caller says. The output is not professional advice (legal, medical, financial, or otherwise) and should not be relied on as such. You are responsible for reviewing how your agent behaves and for any decisions made on the basis of its output.

5. Acceptable use

You agree not to use the Service to, and not to allow anyone else to:

• break the law, or help anyone else break the law;
• interfere with, probe, or attempt to disrupt the Service or its infrastructure;
• infringe the rights of others, or upload content you do not have the right to use.

Because the Service places and answers telephone calls, you also agree not to:

• send unsolicited automated calls (robocalls) or telephone spam;
• commit toll fraud, international revenue share fraud (IRSF), or premium-rate abuse;
• run scams, impersonate a person or business, phish, or harvest one-time passcodes (OTPs);
• place illegal calls, or calls to destinations you are not permitted to contact;
• ignore the telemarketing, do-not-call (DNC), and consent laws that apply where you and your callers are located.

The platform enforces destination and objective controls that block high-risk, premium-rate, and scam or impersonation calling. These controls do not relieve you of your own legal duties. We may suspend or end access that breaches this section.

6. Call recording and AI voice

Whether calls are recorded depends on your account configuration. Laws on recording calls vary by country and region, and some require notice or consent from everyone on the call. You control recording and are responsible for obtaining any caller consent your jurisdiction requires, including giving any required notice. When a caller asks, the AI identifies itself as an automated assistant. See our Privacy Policy for how we handle call data.

7. Your content and data

You own the business data you provide and the call data your agent handles, such as documents, FAQs, hours, pricing, recordings, transcripts, and summaries. You grant us a worldwide, non-exclusive licence to host, process, and transmit that content for the sole purpose of operating, securing, and supporting the Service for you. We do not sell your data, and we do not use your call content to train third-party AI models for unrelated purposes.

8. Intellectual property

The Service, including its software, design, and brand, is owned by us and our licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. You may not copy, modify, reverse-engineer, or resell the Service except as the law allows.

9. Billing and payment

By Your Side offers a prepaid pay-as-you-go wallet and optional monthly plans. New accounts receive a $10 welcome credit. Usage is drawn from your wallet in real time at $0.20 per minute for inbound calls and $0.25 per minute for outbound calls. Phone numbers are free for a 30-day trial, then $5 per month. Monthly plans are Starter ($49), Pro ($149), and Business ($299). Paid plans renew automatically for the period you chose until you cancel. All prices are in US dollars and exclude any tax, which is calculated at checkout.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Limitation of liability

To the extent allowed by law, the Service is provided “as is” and “as available”, without warranties of any kind. We do not promise that the Service will be uninterrupted, error-free, or fit for a particular purpose. To the extent allowed by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or business, arising from your use of the Service. Nothing in these Terms limits any liability that cannot be limited by law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, or if your use risks harm to others, to the Service, or to us. On termination, the rights granted to you under these Terms end. Sections that by their nature should survive (such as content licences, intellectual property, and limitation of liability) continue to apply.

12. Changes to these Terms

We may update these Terms. We will post the new version here and update the date above, and we will tell you about material changes. Continuing to use the Service after a change takes effect means you accept the updated Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising from these Terms or the Service. This choice of law does not deprive consumers resident in the European Economic Area or United Kingdom of any mandatory consumer-protection rights under the laws of their country of residence.
